We provide professionally authored management system documentation toolkits — manuals, procedures, forms, registers, checklists, and compliance matrices — that help organizations implement, operate, and achieve certification against international standards and certification schemes.

These Terms of Service ("Terms") govern your purchase, download, and use of all AGS digital products and your use of our online store. By purchasing, downloading, or using any AGS product, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you are accepting on behalf of an organization, you confirm that you have the authority to bind that organization.

1. Definitions

• "AGS," "we," "us," "our" — the operator of this online store and the publisher of the documentation toolkits sold on it.
• "Toolkit" / "Product" — any digital product sold on this store, including all documents, templates, spreadsheets, matrices, and supporting files delivered within it.
• "Customer," "you," "your" — the individual or organization that purchases or downloads a Product.
• "Licensed Organization" — the single legal entity named at the time of purchase for whose internal use the Product is licensed.
• "Standard" — the ISO standard, certification scheme, accreditation program, or regulatory framework that a Toolkit is designed to support (e.g., ISO 9001, BRCGS, GSO halal schemes, CBAHI, JCI).

2. Nature of Our Products

All AGS products are digital downloads, delivered as ZIP archives containing editable Microsoft Office files. No physical goods are shipped. Products are template documentation — professionally structured starting points that you customize to your own organization. They are not legal advice, not consulting services, and not copies of the official Standards themselves (see Section 9).

3. License Grant

Upon full payment, AGS grants the Licensed Organization a non-exclusive, non-transferable, perpetual license to use the purchased Toolkit, subject to these Terms. Within the Licensed Organization, you may:

• Use the documents without internal restriction — across unlimited users, departments, and sites that fall within the Licensed Organization's own management system;
• Adapt, edit, rebrand, translate, restructure, and customize every document to fit your organization, including adding your name, logo, and content;
• Incorporate content from the Toolkit into your own internal documentation, intranets, document management systems, and audit evidence;
• Present customized documents to auditors, certification bodies, accreditation bodies, regulators, and customers as part of your normal compliance activities;
• Retain and use the Toolkit indefinitely — the license does not expire and carries no renewal fee.

4. License Restrictions

The license is granted for the internal use of one Licensed Organization only. You may not, in original or modified form:

• Resell, sublicense, rent, lease, or redistribute the Toolkit or any of its documents;
• Share, publish, or post the templates publicly — including on websites, marketplaces, file-sharing platforms, template libraries, social media, or public repositories — whether for payment or free of charge;
• Package or bundle the templates, in whole or in part, into another product, toolkit, course, or service offered for sale or distribution;
• Provide the templates to other organizations, including parent companies, subsidiaries, affiliates, or business partners that are separate legal entities — each entity requires its own license;
• Use the Toolkit to build a competing product or a derivative template library for distribution;
• Remove or obscure AGS copyright notices from unmodified template files (notices may naturally be replaced as you customize documents into your own controlled documentation);
• Transfer the license to another individual or organization without our prior written consent.

Redistribution, resale, or commercial exploitation of the templates is strictly prohibited and constitutes both a breach of these Terms and an infringement of copyright, for which we reserve all legal remedies.

5. Consultant & Multi-Client Use

We value the consultants who use our products — and we license them fairly:

• A standard purchase licenses one end-client organization. A consultant may purchase a Toolkit on behalf of a named client, in which case that client is the Licensed Organization.
• Consultants who wish to use AGS toolkits across multiple client engagements must hold a license for each client organization, or contact us to arrange a consultant licensing agreement covering multiple clients on agreed terms.
• Under no circumstances may a single purchase be reused as a master library for unlimited client implementations without such an agreement.

If you are a consultancy, get in touch — our multi-client arrangements are straightforward and designed to make honest licensing easy.

6. Intellectual Property

All Toolkits, documents, structures, compilations, and store content are the intellectual property of AGS and are protected by copyright and applicable intellectual property laws. Purchase of a Toolkit transfers a license, not ownership. Documents you create by customizing the templates for the Licensed Organization's internal use are yours to use within that organization; the underlying template content remains our property.

References to standards bodies and scheme owners (ISO, IEC, BRCGS, IFS, GSO, SMIIC, JAKIM, CBAHI, DHA, JCI, and others) are for identification only. AGS is an independent publisher; our products are not issued, endorsed, or certified by these organizations, and all trademarks remain the property of their respective owners.

7. Ordering, Payment & Taxes

• All prices are stated in US Dollars (USD) and are one-time purchase fees — no subscription, no renewal, no per-user charges.
• Payment is due in full at checkout via the payment methods offered on the store. Corporate purchases by bank transfer against invoice can be arranged by contacting our team; Products are released upon receipt of payment.
• You are responsible for any taxes, duties, or withholdings applicable to your purchase in your jurisdiction, except where the store calculates and collects them at checkout.
• Orders are subject to acceptance. We reserve the right to refuse or cancel an order in cases of suspected fraud, pricing error, or misuse; any amounts paid for a cancelled order will be refunded.

8. Delivery & Downloads

• Products are delivered electronically and immediately after order confirmation, via a secure download link and through your store account.
• Download links are provided for the Licensed Organization's use only and must not be shared, republished, or distributed.
• It is your responsibility to download and safely store your files. If you lose access to your files, contact us — we will do our best to restore your download access.
• You are responsible for ensuring your systems can open standard ZIP archives and Microsoft Office file formats (or compatible alternatives).

9. The Official Standards Are Not Included

Our Toolkits help you implement the requirements of Standards; they do not contain, reproduce, or replace the official text of any Standard. Official Standards must be obtained from the relevant standards body or scheme owner (e.g., iso.org, your national standards body, BRCGS, GSO). We strongly recommend that every implementing organization holds a legitimate copy of its target Standard.

10. Support & Updates

• Each purchase includes email support covering technical assistance, clarification of document purpose and structure, and guidance on how the Toolkit maps to the Standard.
• Support does not include implementation consulting, custom document drafting, gap assessments, internal audits, or attendance at certification activities, unless separately agreed in writing.
• When a Standard or scheme is revised, we update the affected Toolkits. Update entitlements, where offered, are specified on the product page or at the time of purchase; otherwise, updated editions are made available to existing customers on request within a reasonable period following release.
• We reserve the right to limit or withdraw support in cases of abusive, offensive, or inappropriate conduct toward our team, or use of support to obtain services outside its scope.

11. No Guarantee of Certification

Certification and accreditation decisions are made solely by independent certification bodies, accreditation bodies, and scheme authorities based on your actual implementation. While our Toolkits are engineered to cover the documentation requirements of each Standard comprehensively, AGS does not and cannot guarantee that you will pass any audit, achieve certification, or maintain it. Outcomes depend on how the system is implemented, operated, and evidenced within your organization.

12. Refund Policy

Because our products are digital goods delivered instantly and cannot be "returned," all sales are final once a Product has been downloaded, except where:

• The delivered files are corrupt, incomplete, or materially different from the product description, and we are unable to remedy the issue within a reasonable time after you notify us;
• A refund is required by applicable consumer law in your jurisdiction.

If you have a problem with a Product — a file that won't open, content that doesn't match the description, or a purchase made in error before download — contact us promptly. 13. Disclaimers

To the maximum extent permitted by law:

• Products are provided "as is" without warranties of any kind, express or implied, including fitness for a particular purpose;
• Our documents are templates requiring customization; you are responsible for ensuring the final content is accurate, complete, and appropriate for your organization, industry, and legal environment;
• Nothing in our Products or communications constitutes legal, regulatory, or professional advice. For advice on your specific legal obligations, consult a qualified professional in your jurisdiction.

14. Limitation of Liability

To the maximum extent permitted by law, AGS's total aggregate liability arising out of or relating to any Product or these Terms shall not exceed the amount you paid for the Product giving rise to the claim. In no event shall AGS be liable for indirect, incidental, consequential, or special damages — including lost profits, lost business, failed audits, loss of certification, or regulatory penalties — even if advised of the possibility of such damages. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

15. Privacy

We handle your personal data — name, organization, email, and order details — for the purposes of processing orders, delivering products, providing support, and (with your consent where required) sending product updates. We do not sell your data. Payments are processed by PCI DSS–compliant payment providers; we never see or store your card details. For full details, please refer to our Privacy Policy.

16. Changes to These Terms

We may update these Terms from time to time to reflect changes in our products, practices, or legal requirements. The version in force at the time of your purchase governs that purchase. The current version, with its effective date, will always be published on this page.

17. Governing Law & Disputes

These Terms are governed by the laws of the United Arab Emirates, without regard to conflict-of-law principles. Any dispute arising from or relating to these Terms or our Products shall be subject to the exclusive jurisdiction of the courts of the United Arab Emirates. Before commencing any formal proceedings, both parties agree to attempt in good faith to resolve the dispute through direct communication.
